These Terms of Service ("ToS" or "Terms") constitute a legally binding agreement between you ("User," "Client," "Customer," "you," or "your") and Vegras ("we," "us," "our," or "Vegras"), governing your access to and use of our website (www.vegras.com), mobile applications (if applicable), and all related services, features, content, and products (collectively, the "Services").

By accessing our website, placing an order, or using our Services through any channel (e.g., email, phone, WhatsApp), you agree to be bound by these Terms, our Privacy Policy, Shipping Information, and any additional policies or agreements referenced herein. If you are using the Services on behalf of a business entity (e.g., a hotel, restaurant, mess, or PG), you represent and warrant that you have the authority to bind that entity to these Terms.

If you do not agree with any part of these Terms, you must immediately cease using the Services. Vegras reserves the right to refuse service to any User at any time, subject to applicable Indian laws, including the Indian Contract Act, 1872, Consumer Protection Act, 2019, Information Technology Act, 2000, and Food Safety and Standards Act, 2006 (FSS Act).

Deliveries are available within the Delivery Area from 8:00 AM to 8:00 PM, seven days a week. Same-day delivery is offered for orders placed before 2:00 PM IST, subject to availability. B2B Clients may request customized delivery schedules (e.g., early morning for restaurants) via written agreements. Delivery times are estimates and may vary due to traffic, weather, or other factors. Delays will be communicated promptly.

Vegras provides 24/7 support for order inquiries, complaints, or feedback via email, phone, WhatsApp, or the Website’s Contact section. B2B Clients may be assigned dedicated account managers for bulk order coordination.

4. Pricing, Payment, and Taxes

4.1 Pricing

Product prices are displayed on the Website or quoted via email/WhatsApp for Custom Orders or bulk purchases. Prices are inclusive of applicable taxes (e.g., GST) unless otherwise stated. Vegras reserves the right to adjust prices due to market fluctuations, supplier costs, or errors, but confirmed Orders will be honored at the quoted price. Delivery charges are calculated at checkout based on location, order size, and weight.

4.2 Payment Methods

Accepted methods include UPI, bank transfers, credit/debit cards, net banking, and cash on delivery (subject to approval). B2B Clients may negotiate credit terms (e.g., 7-30 days) based on creditworthiness, subject to written agreements. You authorize Vegras to charge your selected payment method for the total order amount, including taxes and fees.

4.3 Taxes and Invoicing

All Orders are subject to GST at prevailing rates, as per Indian tax laws. B2B Clients must provide a valid GSTIN for input tax credit eligibility. Invoices will be issued electronically or in hard copy, including GST details. Failure to provide accurate tax information may result in additional charges or order cancellation.

4.4 Late Payments

For B2B Clients, late payments may incur interest at 1.5% per month or the maximum rate permitted by law. Vegras may suspend Services or withhold deliveries for overdue accounts until payment is cleared.

5. Order Confirmation, Modifications, and Cancellations

5.1 Order Confirmation

Orders are confirmed via email, WhatsApp, or phone, detailing products, delivery address, and estimated delivery time. Vegras may reject or modify Orders due to unavailability, pricing errors, or suspected fraud, with prompt notification.

5.2 Modifications

You may request modifications before dispatch by contacting customer support. Post-dispatch modifications are not guaranteed and may require a new Order.

5.3 Cancellations

Vegras may cancel Orders for non-payment, unavailability, or compliance issues, with a refund issued if payment was made.

6. Delivery, Risk of Loss, and Title

6.1 Delivery Process

Deliveries are handled by Vegras or trusted third-party logistics partners. You must ensure an authorized representative is available to receive the Order at the specified address. Inspect Products upon delivery and report issues (e.g., damage, shortages) within 24 hours.

6.2 Risk of Loss

Risk of loss or damage transfers to you upon delivery. For perishable Products (e.g., vegetables, dairy), you must store them appropriately; Vegras is not liable for spoilage post-delivery.

Title to Products transfers upon full payment. For B2B Clients with credit terms, title transfers upon delivery, subject to payment obligations.

7. Product Quality, Warranties, and Returns

7.1 Quality Assurance

Vegras warrants that Products comply with FSS Act standards and are free from defects at delivery. Product descriptions on the Website are illustrative; minor variations in appearance or packaging may occur.

7.2 Satisfaction Guarantee

If a Product is defective, damaged, or incorrect, contact us within 24 hours for a replacement or refund. Non-perishable Products may be returned within 7 days if unused and in original packaging. Perishable Products are eligible for return only if defective or non-compliant with the Order.

7.3 Return and Refund Process

To initiate a return, provide order details, photos, and reason via email or phone. Approved refunds will be processed within 7-10 business days to the original payment method. Custom Orders or bulk items modified per your specifications are non-returnable unless defective.

7.4 Warranty Limitations

Except as stated, Vegras disclaims all warranties, express or implied, including merchantability or fitness for a particular purpose, to the extent permitted by law. B2B Clients receive only the warranties provided by manufacturers or suppliers.

8. User Responsibilities and Conduct

8.1 General Responsibilities

Provide accurate and complete information for Orders, payments, and Account registration. Use the Services lawfully and in compliance with these Terms. Maintain confidentiality of Account credentials and notify Vegras of any unauthorized use.

8.2 B2B Responsibilities

Ensure Products are stored and used in compliance with FSS Act and other regulations. Provide valid FSSAI and GSTIN details as required for business operations. Honor agreed payment terms for bulk or credit Orders.

9.1 Ownership

All Content on the Website, including text, images, logos, and designs, is owned by Vegras or its licensors and protected by Indian copyright, trademark, and other intellectual property laws. The "Vegras" name and logo are registered trademarks of Vegras.

Vegras grants you a limited, non-exclusive, revocable license to access and use the Website for personal or business purposes. You may not reproduce, modify, distribute, or create derivative works from the Content without prior written permission.

9.3 User-Generated Content

Content you submit (e.g., Custom Order details, reviews) grants Vegras a perpetual, royalty-free, worldwide license to use, modify, and display for operational or promotional purposes. You warrant that your content does not infringe third-party rights.

10. Limitation of Liability

10.1 General Limitations

To the fullest extent permitted by Indian law, Vegras is not liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from the Services. Our total liability for any claim shall not exceed the amount paid by you for the specific Order.

10.2 Service and Product Availability

Vegras does not guarantee uninterrupted access to the Services or availability of all Products. We are not liable for delays or failures due to factors beyond our control, such as supply chain disruptions or technical issues.

10.3 Product Use

You are responsible for proper handling and storage of Products post-delivery, particularly perishables. Vegras is not liable for misuse of Products or failure to comply with FSSAI standards by Users.

You agree to indemnify, defend, and hold harmless Vegras, its affiliates, officers, employees, and partners from any claims, losses, liabilities, or expenses (including legal fees) arising from:

These Terms are governed by the laws of India, including the Indian Contract Act, 1872, Consumer Protection Act, 2019, Information Technology Act, 2000, and FSS Act, 2006, without regard to conflict of law principles.

14.2 Dispute Resolution

Disputes shall first be resolved amicably through good-faith negotiations within 30 days. If unresolved, disputes may be submitted to mediation under the Indian Mediation Act, 2023, or arbitration under the Arbitration and Conciliation Act, 1996, with a single arbitrator appointed by Vegras in New Delhi. For consumer disputes, you may approach consumer forums under the Consumer Protection Act, 2019. Exclusive jurisdiction for court proceedings lies with the courts in New Delhi, India.

B2B Clients may negotiate bulk pricing, delivery schedules, and credit terms via separate written agreements, which incorporate these Terms. Custom Orders must include clear specifications; Vegras is not liable for errors due to vague instructions.

17.2 Compliance

B2B Clients must comply with FSS Act and GST laws, including proper storage and handling of Products. Valid GSTIN and FSSAI registration (if applicable) must be provided for invoicing and compliance.

17.3 Confidentiality

B2B Clients agree to keep confidential any proprietary information (e.g., pricing, supply chain details) provided by Vegras.

17.4 Payment Terms

Credit terms are subject to approval and may require credit checks or guarantees. Late payments may result in suspension of Services or legal action to recover dues.

18.1 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force.

No waiver of any term constitutes a continuing waiver.
